As a Corporate Associate, your main responsibilities will include:
Assisting in the execution of initial public offerings (IPOs) on the Main Board of the HKEX, including due diligence, drafting prospectuses, and managing regulatory submissions.
Supporting domestic and cross-border mergers and acquisitions (M&A), joint ventures, and corporate reorganisations.
Drafting and reviewing transaction documents, including sale and purchase agreements, disclosure letters, and shareholder agreements.
Providing ongoing corporate governance and regulatory compliance advice under the SFC Listing Rules and Hong Kong Companies Ordinance.
Liaising with clients, investment bankers, regulators, and other professional parties to facilitate smooth transaction closures.
Conducting in-depth legal research on complex corporate and securities law issues.
skills & experience required.
Newly Qualified (NQ) solicitor status up to 1 year of Post-Qualification Experience (PQE).
Admitted, or eligible for imminent admission, to practice as a Solicitor in Hong Kong (mandatory qualification).
Prior training seat or experience in Corporate Finance, IPOs, or M&A within a reputable international or top-tier local law firm.
Excellent drafting, communication, and analytical skills with high attention to detail.
Native or near-native fluency in written and spoken Mandarin and Cantonese, alongside flawless professional English, is essential for client advisory and document drafting.
A proactive attitude, strong organizational skills, and a genuine passion for corporate law.
