about the job.
- Draft, review, and negotiate transaction documentation for offshore bond issuances, debt issuance programmes, and high-yield notes.
- Advise underwriters, issuers, and financial institutions on Hong Kong and cross-border regulatory compliance.
- Lead transaction execution, legal due diligence, and prospectus preparation for debt capital market offerings.
- Coordinate multi-jurisdictional closings, liaising directly with regulatory authorities, stock exchanges, and legal counsel.
- Conduct in-depth research on emerging DCM regulatory trends, legal frameworks, and ESG debt instruments.
skills & experience required.
- Qualified lawyer with 2+ years PQE specializing in Debt Capital Markets (DCM) from a recognized legal jurisdiction.
- Direct prior experience from a leading DCM team within the Hong Kong market is required.
- Proven track record in executing G3 bond issuances, dim sum bonds, or high-yield debt offerings.
- Fluency in spoken and written Mandarin alongside professional proficiency in English is required to handle regional client transactions and documentation.
- Exceptional legal drafting, negotiation, and project management skills with high attention to detail.
