about the job.
Advising on a broad range of corporate matters, with a primary focus on HKEX Mainboard IPOs and public/private M&A.
Drafting and reviewing primary transaction documents, including prospectuses, share purchase agreements, and shareholders' agreements.
Managing the due diligence process and coordinating with various external parties, including sponsors, financial advisors, and regulators.
Providing ongoing regulatory and compliance advice to listed companies regarding Listing Rules and the Takeovers Code.
Assisting in the execution of private equity investments and general corporate commercial work.
skills & experience required.
NQ to 5 years PQE with a solid track record in corporate finance or capital markets.
Must be a Hong Kong admitted solicitor (or currently in the process of admission).
Prior experience in IPO and M&A transactions within an international or reputable local firm is highly preferred.
Native or professional fluency in Mandarin and Cantonese (written and spoken) is essential for document drafting and client communication.
Strong academic background with excellent drafting and analytical skills.
