Lead and manage a wide range of corporate transactions, including cross-border M&A, private equity investments, and joint ventures.
Take primary responsibility for drafting and negotiating complex transactional documents such as SPAs, SHAs, and investment agreements.
Manage the full lifecycle of transaction workstreams, including coordinating with specialist teams and international offices.
Provide strategic advice to clients on corporate governance, regulatory compliance, and general commercial matters.
Supervise and mentor junior associates and trainees, ensuring high-quality work product and professional development within the team.
Play a proactive role in business development, including pitching for new mandates and maintaining existing client relationships.
Navigate complex regulatory environments, including matters related to the HKEX Listing Rules and the Takeovers Code.
skills & experience required.
6-8 years PQE with extensive experience in corporate M&A from a reputable international or top-tier local law firm.
Must be a Hong Kong admitted solicitor; dual qualification (e.g., UK or US) is highly regarded.
Strong track record of leading transactions and managing complex, multi-party negotiations.
Excellent command of written and spoken English and Chinese; Mandarin fluency is essential for handling China-related mandates.
Superior drafting skills and the ability to provide commercially-focused legal advice.
Highly developed interpersonal skills with the ability to lead teams and manage sophisticated client expectations.
