- Oversee the full spectrum of company secretarial and corporate governance functions for the holding company and its subsidiaries
- Organise and prepare board, committee, and shareholder meetings, including drafting notices, agendas, detailed board papers, and meeting minutes.
- Coordinate the publication of annual and interim reports, regulatory announcements, circulars, and statutory returns.
- Advise senior executives and board members on legal, statutory, and governance compliance matters.
- Maintain effective communications with regulatory authorities, including HKEX and SFC, as well as external professional advisors.
skills & experience required.
- Minimum 8 years of company secretarial experience within an HKEX-listed company or a major conglomerate.
- Associate or Fellow member of HKICS / CGI (HKCG / CGI).
- Comprehensive knowledge of HKEX Listing Rules, SFC regulations, and the Hong Kong Companies Ordinance.
- Proven leadership abilities with strong expertise in managing complex board-level operations.
- Excellent command of written and spoken English, Cantonese, and Mandarin.
