You will join a highly regarded Capital Markets and Corporate practice group comprising top-tier legal practitioners in Hong Kong. The team works closely with international corporate clients, issuers, and investment banks on marquee IPO transactions, offering a supportive atmosphere that values professional growth, team collaboration, and technical excellence.

- Draft, review, and negotiate transaction documentation, offering circulars, and prospectuses for initial public offerings (IPOs) and capital markets transactions.
- Manage cross-border corporate transactions, ensuring compliance with Hong Kong Stock Exchange (HKEX) listing rules and US securities regulations.
- Coordinate due diligence exercises, verify prospectus disclosures, and liaise with external regulatory bodies and advisors.
- Provide sound corporate governance and legal advice to global corporate clients throughout the transaction lifecycle.
- Support senior fee earners and partners in project management, client relationship management, and strategic business development initiatives.
skills & experience required.
- Minimum 2 years of post-qualification experience (PQE) specializing in corporate finance or capital markets (IPO) transactions.
- Qualified and admitted to practice law in either Hong Kong or the United States (US).
- Demonstrated experience handling Hong Kong or US IPOs within a reputable international law firm or leading corporate legal team.
- Fluency in written and spoken Chinese (Mandarin and/or Cantonese) and English is required to liaise with regional corporate clients and review bilingual legal documentation.
- Strong analytical, drafting, and interpersonal skills with the ability to manage complex transactions under tight deadlines.
